VectorIcons Contributor Terms of Service

Welcome to VectorIcons.net, a service provided by VectorIcons.net (“Company”). These Terms of Service (“Agreement”) govern your use of VectorIcons as a contributor and apply to all visitors, users, buyers, sellers, and others who access or use the Services. Please read this Agreement carefully. By accessing or using the VectorIcons website or its Services, you agree to be bound by this Agreement. If you do not agree to all the terms and conditions, you must not use the Services.

1. Introduction

This Agreement constitutes a legal contract between you and VectorIcons.net. It outlines the rules and guidelines you must follow when using our Services. VectorIcons reserves the right to modify these terms at any time, and such changes will be communicated via email or platform notification. Your continued use of the Services after changes are made constitutes your acceptance of the new terms.

2. Definitions

  • "Services": Includes the VectorIcons website, associated domains, features, and tools for buying and selling digital content.
  • "Content": Any icons, illustrations, graphics, or other materials uploaded or made available on VectorIcons.
  • "Contributor": A registered user who uploads and sells content on VectorIcons.
  • "User": Anyone accessing or using VectorIcons Services, including contributors and buyers.

3. Use of Services

3.1 Eligibility

To use the Services as a Contributor:

  • You must be at least 18 years old or the age of legal majority in your jurisdiction.
  • You must not reside in or be a citizen of high-risk jurisdictions prohibited by Stripe, including Cuba, Iran, North Korea, Syria, or regions such as Crimea, Donetsk, and Luhansk.
  • You must not be listed on any restricted or sanctioned lists, such as those maintained by the US OFAC, EU, UK, or UN.

3.2 Account Responsibilities

Contributors are responsible for maintaining the confidentiality of their account credentials. You agree to:

  • Provide accurate and complete account information.
  • Update your account details as needed.
  • Notify VectorIcons immediately of any unauthorized access or security breach.

3.3 Prohibited Activities

You may not use the Services to:

  • Upload or sell illegal, infringing, or harmful content.
  • Engage in fraudulent, abusive, or deceptive activities.
  • Bypass, disable, or interfere with platform security features.

4. Content Guidelines and Licensing

4.1 Ownership

Contributors retain ownership of the content they upload.

4.2 License to VectorIcons

By submitting content, you grant VectorIcons a non-exclusive, royalty-free license to:

  • Display, distribute, and sell your content on the platform.
  • Use your content for promotional and marketing purposes. This license is valid until the content is removed by either party.

4.3 Compliance

You represent and warrant that your content:

  • Is your original work or you have the necessary rights and permissions to upload it.
  • Does not infringe on any third-party intellectual property rights.
  • Complies with all applicable laws and regulations.

5. Revenue and Payment Terms

5.1 Revenue Sharing

Contributors will receive 70% of the net revenue from each sale.

5.2 Payment Processing

Payments are processed via Stripe for customer transactions and Payoneer for contributor payouts.

5.3 Payouts

Minimum payout threshold: $100 USD. Payments are issued within 30 days after the end of the month. Contributors can choose from multiple payout options, including Payoneer Prepaid Debit Mastercard®, Global Bank Transfers, or Card-to-Card Transfers.

5.4 Fees

Payoneer may apply transaction fees, including a minimum fee of $1 USD for payouts below $100 USD.

5.5 Rolling Reserve

Payoneer may hold a portion of transactions as a rolling reserve to mitigate risks. The reserved amount will be released after a specified period.

5.6 Tax Compliance

Contributors are responsible for reporting and paying applicable taxes. VectorIcons may require tax documentation and withhold payments if such information is not provided.

6. Pricing and Adjustments

VectorIcons retains the right to:

  • Set and adjust pricing for all content.
  • Offer discounts, promotions, and other marketing incentives.
  • Modify the revenue-sharing structure with advance notice to contributors.

7. Termination and Suspension

7.1 Grounds for Termination

VectorIcons may suspend or terminate your account if you:

  • Violate this Agreement.
  • Engage in prohibited activities as defined by Stripe or Payoneer policies.
  • Fail to provide accurate or complete account or tax information.

7.2 Effects of Termination

Upon termination:

  • You will lose access to your account and associated data.
  • Any pending payments may be withheld pending resolution of outstanding issues.

8. Limitation of Liability

To the fullest extent permitted by law:

  • VectorIcons shall not be liable for indirect, incidental, or consequential damages.
  • VectorIcons's total liability shall not exceed the amount you earned on the platform in the six months preceding the claim.

9. Privacy and Data Protection

VectorIcons respects your privacy. Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your personal data.

10. Compliance with Third-Party Policies

By using VectorIcons, you agree to adhere to:

  • The Stripe Services Agreement.
  • The Payoneer Terms and Conditions. Failure to comply may result in account suspension or termination.

11. Dispute Resolution

This Agreement shall be governed by the laws of the United Arab Emirates. Any disputes will be resolved through arbitration in Ras Al Khaimah, unless otherwise required by law.

12. Modifications to the Agreement

VectorIcons may modify these terms at any time. Significant changes will be communicated via email or platform notification. Continued use of the Services constitutes acceptance of the updated terms.
